These Terms of Use (“Terms”) govern your access to and use of the AskJelly website located at askjelly.ai, the AskJelly Instagram experience and agent bot, and any related products or services we provide (collectively, the “Service”). The Service is provided by Jelly AI Labs, Inc. (“AskJelly,” “Jelly,” “Get Jelly,” “Jelly AI,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

AskJelly provides AI-generated responses, summaries, reports, and related outputs in response to user requests submitted through Instagram interactions and through our website.

The Service may allow an Instagram user to tag or mention our Instagram account and receive an AI-generated response based on that request. The Service may also allow a user to submit their email address through our website to join a waitlist or receive updates.

2. Eligibility

You may use the Service only if you can legally form a binding contract with us and your use of the Service is not prohibited by applicable law.

If you use the Service through Instagram or another third-party platform, you are also responsible for complying with that platform’s terms, policies, and rules.

3. No Account Required for Instagram Interactions

You generally do not need to create an account with AskJelly to interact with our Instagram bot. If you choose to submit your email address on our website, you agree to provide accurate and current information.

4. User Inputs and Permissions

When you tag, mention, or otherwise interact with AskJelly on Instagram, or submit information through our website, you instruct us to process the content you provide in order to operate the Service.

You represent that:

  1. you have the rights needed to submit your request and any content included in it;
  2. your use of the Service will not violate any law, regulation, third-party right, or platform rule; and
  3. you will not submit sensitive personal information, payment card information, health information, government identifiers, or any other information you do not want processed by an AI-enabled service.

5. Acceptable Use

You may not use the Service:

  • for unlawful, harmful, fraudulent, deceptive, or abusive purposes;
  • to infringe or violate intellectual property, privacy, publicity, or other rights;
  • to submit or distribute malicious code, spam, or unauthorized advertising;
  • to reverse engineer, interfere with, or disrupt the Service;
  • to attempt to access non-public areas of the Service or related systems; or
  • to use the Service in violation of Instagram, Meta, or other third-party platform rules.

We may suspend or terminate access to the Service at any time if we believe your use violates these Terms, applicable law, or third-party platform requirements.

6. AI-Generated Outputs

The Service uses artificial intelligence and automated systems to generate outputs. Outputs may be incomplete, inaccurate, outdated, or unsuitable for your specific situation. You are responsible for evaluating any output before relying on it.

The Service is provided for general informational purposes only and is not legal, financial, medical, tax, employment, or other professional advice.

7. Intellectual Property

The Service, including our software, branding, design, text, graphics, logos, and other content created by or for AskJelly, is owned by Jelly AI Labs, Inc. or its licensors and is protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purposes.

8. Feedback

If you provide feedback, suggestions, ideas, or recommendations regarding the Service, you grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free right to use and exploit that feedback for any lawful purpose without restriction or compensation to you.

9. Third-Party Services

The Service may operate through or with third-party services, including Instagram and Meta platforms, website hosting, analytics, cloud providers, and email tools. Your use of those third-party services may also be governed by their terms and privacy policies.

AskJelly is an independent service and is not endorsed by, sponsored by, or affiliated with Instagram or Meta except as a developer using applicable platform tools and APIs.

10. Privacy

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, disclose, and retain information.

11. Availability and Changes

We may modify, suspend, or discontinue all or any part of the Service at any time, with or without notice. We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKJELLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JELLY AI LABS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF JELLY AI LABS, INC. FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you.

14. Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Jelly AI Labs, Inc. and its officers, directors, employees, contractors, affiliates, and service providers from and against any claims, liabilities, damages, judgments, losses, and expenses arising out of or related to:

  1. your use of the Service;
  2. your violation of these Terms;
  3. your violation of any law or third-party right; or
  4. any content or request you submit to the Service.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you violated these Terms or applicable law.

Sections that by their nature should survive termination will survive, including sections relating to intellectual property, disclaimers, limitation of liability, indemnity, governing law, and miscellaneous provisions.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles, except to the extent otherwise required by applicable consumer protection law.

Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in [New Castle County, Delaware], and you consent to those courts’ jurisdiction and venue, except where prohibited by law.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on our website and update the Effective Date above. Your continued use of the Service after the updated Terms become effective means you accept the revised Terms.
